Outcome
Cross-border acquisition closed
A US logistics group acquired a UK freight forwarder. Our New York and London teams ran diligence, regulatory filings and completion on a single timetable.
01
The challenge
A family-owned US logistics group wanted to acquire a UK freight forwarder to add European routes. The target had customs licences, a defined-benefit pension scheme and leased warehouses in three English ports.
The seller had another bidder and wanted exclusivity to last no more than twelve weeks. Two sets of lawyers working to two timetables would have lost the deal.

02
Our approach
We ran one team across both offices, with one deal tracker and one weekly call.
01. Divide the diligence
London reviewed licences, the pension scheme and leases; New York handled financing and the US purchaser’s approvals.
02. Price the pension risk
We negotiated a specific indemnity and an escrow for the pension deficit rather than a reduction in price.
03. Complete on one day
Signing and completion took place simultaneously in New York and London, with funds released through a single escrow agent.
“Two offices, one deal and not a single missed date.”

The outcome
The acquisition closed at $38M, within the exclusivity period. The client now operates the business as its European arm, and the pension escrow was released in full after the first actuarial review.
